1.2 Service Delivery
Each project is scoped individually based on your specific needs. Deliverables, timelines, and pricing are outlined in a custom proposal provided before work begins.
1.3 No Guarantees on Third-Party Services
Our automations rely on third-party platforms (such as n8n, Make, Zapier, HubSpot, Slack, etc.). We cannot guarantee the continuous availability or performance of these external services.
2. Engagement Process
2.1 Discovery Call
We begin with a free discovery call to understand your business, challenges, and goals.
2.2 Custom Proposal
Following the discovery call, we provide a detailed proposal including:
• Scope of work
• Timeline
• Investment required
• Expected outcomes
2.3 Acceptance
Work begins upon your written acceptance of the proposal and receipt of any required deposit.
3. Payment Terms
3.1 Pricing
All pricing is provided in the custom proposal. Prices are quoted in EUR unless otherwise specified.
3.2 Payment Schedule
Typical payment terms:
• 50% deposit upon project acceptance
• 50% upon project completion
Alternative arrangements may be agreed upon for larger projects.
3.3 Late Payments
Invoices are due within 14 days of receipt. Late payments may result in suspension of work and interest charges of 1.5% per month on overdue amounts.
4. Results Guarantee
4.1 Our Commitment
We stand behind our work. If the automation system we build does not deliver the results outlined in our proposal, we will:
• Work to fix the issues at no additional cost, or
• Provide a partial or full refund at our discretion
4.2 Conditions
This guarantee applies when:
• The issue is within our control (not caused by third-party service failures)
• You have provided accurate information about your workflows
• You have implemented the system as designed
4.3 Exclusions
The guarantee does not cover:
• Changes to your requirements after project completion
• Issues caused by modifications made without our involvement
• Third-party service outages or changes
5. Client Responsibilities
You agree to:
• Provide accurate and complete information about your business and workflows
• Grant necessary access to systems and tools required for the project
• Respond to requests for information or approval in a timely manner
• Designate a point of contact for the project
• Test and provide feedback on deliverables within agreed timelines
Delays caused by failure to meet these responsibilities may affect project timelines and may incur additional costs.
6. Intellectual Property
6.1 Your Data
All business data, customer information, and proprietary content remains your exclusive property. We claim no ownership over your data.
6.2 Deliverables
Upon full payment, you own the custom automations, workflows, and configurations we create for you.
6.3 Our Tools and Methods
We retain ownership of our proprietary methodologies, templates, and general knowledge gained through our work. We may use anonymized learnings to improve our services.
6.4 Third-Party Components
Some solutions may incorporate third-party tools or open-source components. These remain subject to their respective licenses.
7. Confidentiality
7.1 Your Information
We treat all information about your business, operations, and data as confidential. We will not disclose this information to third parties without your consent, except as required by law.
7.2 Non-Disclosure
Upon request, we are happy to sign a mutual Non-Disclosure Agreement (NDA) before beginning work.
8. Limitation of Liability
8.1 Service Limitations
Our services are provided "as is." While we strive for excellence, we cannot guarantee that automations will be error-free or uninterrupted.
8.2 Maximum Liability
Our total liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim.
8.3 Exclusions
We are not liable for:
• Indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Data loss (you are responsible for maintaining backups)
• Issues caused by third-party services
9. Support & Maintenance
9.1 Included Support
Every project includes 90 days of support from the completion date, covering bug fixes, minor adjustments, and questions about using the system.
9.2 Ongoing Support
After the initial support period, ongoing maintenance and support is available through a monthly retainer agreement.
9.3 Response Times
We aim to respond to support requests within 24 business hours.
10. Termination
10.1 By You
You may terminate a project at any time by providing written notice. You will be responsible for payment for work completed up to the termination date and any third-party costs incurred on your behalf.
10.2 By Us
We may terminate a project if payment is not received as agreed, you breach these Terms, or continuing the project becomes impractical.
10.3 Effect of Termination
Upon termination, we will deliver all completed work and provide reasonable assistance for transition.
11. Website Use
11.1 Acceptable Use
You agree not to use our website for any unlawful purpose, attempt to gain unauthorized access to our systems, or interfere with the proper functioning of the website.
11.2 Content Accuracy
We strive to keep website content accurate and up-to-date, but we do not guarantee its completeness or accuracy.
12. Governing Law
These Terms are governed by the laws of France. Any disputes shall be resolved in the courts of Strasbourg, France.
